Pegasus offers these opportunities in two forms of licensing the proprietary software as well as its management services to qualified companies:

• Exclusive License
• Non-Exclusive License

EXCLUSIVE LICENSE OPTION

Under the Exclusive Licensing option, an Internet game site operator can purchase the exclusive right to market his own privately branded gaming site in a specific country/region. His gaming web site will be designed, hosted and operated by the partners of Pegasus in that particular region. All players who log on from the Licensee's site will be considered as that operator's players.

While the exclusively licensed operator pay an initial Licensing Fee, Pegasus will also receives a percentage of the operator's ongoing gross revenue, with minimum set monthly royalties. In return, Pegasus will host and operate the Licensee's gaming operation as well as keeping a secure accounting system utilizing its "BIRDS EYE" management. The licensed operator is thus freed of the need of managing his game site and can concentrate his efforts on local marketing and attracting players to his sites.

The Exclusive License Holder is also entitled to sell additional "Sub-Licenses" to local independent operators of that country/region. There is no pre-set number of Sub-Licensees allowed in a particular country/region. While Pegasus does not interfere with the pricing of each Sub-License sold in a country, it does reserve the right to charge setup fees to the Exclusive License Holder for every sub-License he sells. Pegasus is however responsible for creating, implementing and managing the Internet gaming sites for these Sub-Licensees. Pegasus direct Licensees will also be entitled to set royalty payments, from their Sub-Licensees on a quarterly basis.
